athenahealth Inc. (Watertown, Mass.) has filed a registration statement with the Securities and Exchange Commission for a proposed initial public offering of its common stock.

According to athenahealth, Goldman, Sachs & Co. (New York) and Merrill Lynch & Co. (New York) will act as joint bookrunners for the proposed offering, and Piper Jaffray & Co. (Minneapolis) and Jefferies & Company Inc. (New York) will act as co-managers.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective, says the company. These securities may not be sold nor may offers to buy be accepted prior to the time that the registration statement becomes effective, contends athenahealth.
