Nuance Communications, Inc. (Burlington, Mass.) has signed a $400 million deal to acquire eScription, a provider of computer-aided medical transcription technology based in Needham, Mass.
By pooling their resources, the combined organization hopes to provide clinical documentation solutions that are more scalable and innovative, according to the companies.
Under the terms of the agreement, Nuance will pay $340 million in cash and $23 million in common stock, plus the assumption of vested employee options with a value of about $37 million. The transaction is expected to close in Nuance’s fiscal third quarter of 2008.
Nuance said it expects the acquisition to add between $16 million and $18 million in adjusted revenue in fiscal 2008 and between $63 million and $68 million in adjusted revenue in fiscal 2009.
